Version: 1
Terms of Service
Last Updated: 2026-September-25

1. Introduction

Welcome to Sidub Inc. ("Company," "we," "our," or "us"). These Terms of Service
("Terms") govern your access to and use of our website, software, and services
(collectively, the "Services"). By accessing or using our Services, you agree to
be bound by these Terms, our Privacy Policy (https://sidub.ca/privacy), and any
additional terms applicable to specific Services. If you do not agree to these
Terms, please do not use our Services.

2. Eligibility

By using our Services, you represent and warrant that you are at least 18 years
of age (or the age of majority in your jurisdiction) and have the legal capacity
to enter into these Terms.

3. Account Registration

To access certain features, you may need to register for an account. You agree
to:

- Provide accurate and complete information during registration.
- Keep your account information up to date.
- Maintain the confidentiality of your login credentials.
- Notify us immediately of any unauthorized use of your account.

Certain Services, including purchasing and managing licences, use an account on
our Monaiq platform (https://monaiq.com). Creating or using a Monaiq account is
subject to these Terms, and the obligations above apply to it.

4. Use of Services

You agree to use the Services only for lawful purposes and in compliance with
all applicable laws and regulations. You agree not to:

- Engage in any activity that disrupts or interferes with the Services.
- Use any automated means to access the Services without our prior written
permission, except for legitimate uses like automated workflows in compliance
with our guidelines. For clarity, using software we license to you through its
documented programmatic interfaces — including its command-line interface and its
AI-agent integrations — is a permitted use and needs no separate permission.
- Upload or transmit any content that is illegal, harmful, or infringes on the
rights of others.

5. Intellectual Property

All content and materials available on the Services, including but not limited
to text, graphics, logos, and software, are the property of Sidub Inc. or its
licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and
use the Services for personal or internal business purposes in accordance with
these Terms and the applicable license agreements.

6. User Content

a. License Grant

By submitting any content ("User Content") to the Services, you grant Sidub Inc.
a non-exclusive, worldwide, royalty-free license to use, reproduce, modify,
display, and distribute such content as necessary to provide the Services.

b. Responsibility

You are solely responsible for your User Content. You represent and warrant
that you have all necessary rights to grant the above license and that your
content does not violate any laws or infringe any third-party rights.

c. Document Content and AI

The Services read the text of every document you process as data, never as an
instruction: text inside a document does not change what the Services do. A
template is data the Services read to extract values; it is never an instruction to
an AI application. Docuoria runs no AI model. For a template without retrieval or
Python steps, the same document with the same template yields the same result.

An AI application you connect to the Services, such as claude.ai, ChatGPT, or a
developer tool, is provided by its own provider under its own terms, and that
provider is responsible for defending it against instructions hidden in the content
it reads. An AI application that acts on such text acts only within your own
project or your organisation's account. A stored template is replaced when the
caller asks; the guidance the Services give an AI application directs it to run a
regression check first.

You may rely on the Services to extract from the document you supplied the values
the template specifies, and to keep and delete documents as the Privacy Policy
states. You are responsible for reviewing extracted data, and any action an AI
application takes with it, before you rely on them.

7. Privacy Policy

Your use of the Services is subject to our Privacy Policy (https://sidub.ca/privacy),
which is incorporated into these Terms by reference.

8. Subscriptions, Billing and Cancellation

Some licences are sold on a recurring subscription basis. Where you purchase a
subscription:

- The price, billing currency, and billing interval are disclosed to you before
you complete your purchase.
- Your subscription renews automatically at the end of each billing interval and
the then-current fee is charged to your payment method, until you cancel.
- You may cancel at any time. Cancellation takes effect at the end of the billing
interval in which you cancel, and your licence remains active for the remainder of
that interval.
- Fees already paid are non-refundable, except where a refund is required by
applicable law or where we state otherwise in writing.
- We may change subscription pricing on notice to you. A change takes effect at
your next renewal, and you may cancel before it takes effect if you do not agree
to it.
- If a payment fails, or a subscription is suspended or cancelled, the licence
ceases to authorise the software and licensed features may stop working until the
subscription is resumed or a new licence is obtained.

A free plan may be offered at no cost. We may change or discontinue a free plan,
and we may impose or adjust usage limits on it, on notice to you.

9. Termination

We reserve the right to suspend or terminate your access to the Services at our
sole discretion, without notice, for conduct that we believe violates these
Terms or is harmful to other users, us, or third parties.

10. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided "as
is" and "as available" without warranties or conditions of any kind, either
express or implied. We do not warrant that:

- The Services will meet your requirements.
- The Services will be uninterrupted, timely, secure, or error-free.
- Any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Sidub Inc. and its affiliates
shall not be liable for any indirect, incidental, special, consequential, or
punitive damages, including loss of profits, data, or use, arising out of or in
connection with your use of the Services.

In no event shall the total liability of Sidub Inc. exceed the amount of fifty
Canadian dollars (CAD $50.00), regardless of the cause of action.

12. Indemnification

You agree to indemnify and hold harmless Sidub Inc., its affiliates, officers,
directors, employees, and agents from any claims, liabilities, damages, losses,
and expenses, including reasonable legal fees, arising out of or in any way
connected with your access to or use of the Services or your violation of these
Terms.

13. Force Majeure

Sidub Inc. shall not be liable for any failure or delay in performance due to
circumstances beyond its reasonable control, including but not limited to acts
of God, war, terrorism, civil unrest, governmental actions, labor disputes, or
natural disasters.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal
laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in the
Province of Ontario for the resolution of any disputes arising out of or
relating to these Terms or the Services.

15. Changes to Terms

We may modify these Terms from time to time. We will notify you of significant
changes by posting the new Terms on our website and updating the "Last Updated"
date. Your continued use of the Services after any such changes constitutes your
acceptance of the new Terms.

16. Notices

All notices under these Terms shall be in writing and shall be deemed duly given
when delivered personally, sent by email with confirmation, or sent by
recognized courier service to the following:

- Email: inquiries@sidub.net
- Phone: 1-226-666-2111

17. Entire Agreement

These Terms, along with the Privacy Policy and any additional terms you agree
to, constitute the entire agreement between you and Sidub Inc. regarding the
Services and supersede all prior agreements.

In the event of a conflict between these Terms and any license agreement (e.g.,
the Proprietary Software License Agreement), the terms of the license agreement
shall prevail concerning the specific software or service.

18. Severability

If any provision of these Terms is held invalid or unenforceable, such provision
shall be enforced to the maximum extent permissible, and the remaining
provisions shall remain in full force and effect.

19. No Waiver

Failure by Sidub Inc. to enforce any right or provision of these Terms shall not
constitute a waiver of such right or provision.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms
without our prior written consent. We may assign our rights and obligations
without restriction.

21. Governing Language

These Terms are written in English. Any translations are provided for
convenience, and the English version shall prevail in case of discrepancies.
